1. About this policy
1.1 This policy covers shop orders, advisory and fiduciary mandate fees, and payments made to BlackLeaf Wealth (Pty) Ltd (BlackLeaf) through the portal, by EFT or, once online payment is available, through PayFast.
1.2 It is read with the Shop Terms and Conditions of Purchase, your letter of engagement or mandate, and the Portal Terms of Use.
1.3 Your rights under the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002 (ECTA) always apply. Nothing here removes them (ECTA s 48; CPA s 51).
2. Cancelling a shop order within seven days
2.1 You may cancel any shop order within seven (7) days of placing it, without giving a reason and without penalty. This applies to all products.
2.2 To cancel, email [email protected] or use the cancel button on the order in the portal. Give your name and the order or invoice number.
2.3 We refund the full amount you paid for that order within 30 days of your cancellation.
2.4 If we have already paid an authority fee for your order, BlackLeaf carries that cost. You do not pay it back.
2.5 The seven-day right is the only time limit. If you cancel after seven days, section 5 applies.
2.6 A BCRP Phase 1 diagnostic is not a shop order. It is cancelled and refunded under clause 5 of its Diagnostic Terms, which gives six hours after we confirm the order. Section 2 does not apply to it.
3. Identity verification
3.1 We check your identity under the Financial Intelligence Centre Act 38 of 2001 after you pay. We start work only when the check is complete. A client with a BlackLeaf portal can buy only after their onboarding is complete.
3.2 If the check fails, or you do not give the documents we ask for within 14 days, we cancel the order and refund the amount you paid within 30 days, unless the law requires otherwise.
4. Mandate fees (advisory and fiduciary)
4.1 A mandate normally starts with an appointment fee and continues with a monthly retainer, as your letter of engagement or mandate says.
4.2 Once work has started, these fees are not refundable. Work has started on the first day we bill time for your matter or the first day we deliver a document to you, whichever is first.
4.3 If you cancel before work has started, we refund the fee within 30 days.
4.4 Success fees (capital raising and M&A) are payable only as your mandate says.
4.5 This clause does not limit rights that cannot be excluded by law, including where a service was not performed with reasonable skill and care.
5. Other cases
| Situation | What happens |
|---|---|
| We did not deliver the product or service | Full refund, or we redo it, at your choice |
| We delivered work that was not done with reasonable skill and care | We correct it. If we cannot, we refund the part affected |
| You paid twice or paid too much | Full refund of the extra amount |
| An authority rejected the filing because of our mistake | We redo it at our cost, or refund |
| An authority rejected the filing because of information you gave us | No refund of fees already paid to the authority. We refund our own fee only if the law requires it |
| Subscription or retainer after you end the engagement | We stop billing from the end of the notice period in your letter of engagement. Amounts already invoiced stay due |
| A product you ordered is withdrawn before delivery | Full refund |
6. How and when we refund
6.1 We refund to the card, account or method you paid with. We do not charge a fee to refund.
6.2 We refund within 30 days of cancelling a shop order or of agreeing the refund. Banks and card issuers may take a few more days to show it.
6.3 We refund the amount you paid, including VAT. We issue a credit note.
6.4 We email you when the refund is made.
7. If you think a charge is wrong
Email [email protected] within 30 days of the charge, before you ask your bank for a chargeback. We acknowledge within 2 working days and answer within 10 working days. You keep every right you have against your bank.
8. Overdue amounts
A refund does not cancel amounts you owe us for other invoices. Overdue amounts bear interest at 2% a month, applied subject to the in duplum rule. Unpaid accounts follow the collection cycle: invoice on the 25th, suspension and loss of portal access on the 21st of the following month.
9. Complaints
Email [email protected]. If you are not satisfied you may complain to the Consumer Affairs Committee (ECTA s 49) or the National Consumer Commission.
