1. Who sells to you
1.1 The seller is BlackLeaf Wealth (Pty) Ltd (BlackLeaf, we). We are part of the BlackLeaf group, whose holding company is BlackLeaf Group Holdings (Pty) Ltd (2025/879490/07).
1.2 These terms apply to every purchase from the BlackLeaf shop, whether on the website or in the BeSpoke App. Staff do not place orders on your behalf. They are read with our Refund Policy, our Privacy Policy and, for portal users, the Portal Terms of Use.
2. Accepting these terms
2.1 By placing an order you agree to these terms. We are bound by them when we confirm your order.
2.2 You must be at least 18 years old with full legal capacity. If you buy for a company, trust or other entity, you confirm you are authorised to bind it.
2.3 These terms and the order record are an electronic agreement under the Electronic Communications and Transactions Act 25 of 2002 (ECTA).
3. What we sell
3.1 The shop sells self-service products and services listed on the shop page, each with a description, what is included, the price and the expected turnaround.
3.2 Every client sees every price.
3.3 A product is delivered electronically (a document, a registration, a report or a completed filing) unless the product page says otherwise.
3.4 We do not sell regulated tax, payroll or accounting services, or legal services, until the relevant registrations are in place. We do not give advice on a specific financial product. Nothing in the shop is financial, tax or legal advice, and none of it creates a mandate or an attorney-client or advisory relationship. For those, we will refer you to an engagement with our advisory teams or to independent professionals.
4. Prices and payment
4.1 Prices are in South African rand. The price shown at checkout is the price you pay, with any fee or tax that applies shown as a separate line before you pay.
4.2 Payment is made by EFT against the invoice we send you. Online card payment through PayFast will be added when it is available, and we will update these terms then. We do not see or keep your full card number.
4.3 Authority fees. Fees we pay to a government body or other authority for you (for example CIPC or SARS) are charged at cost, on top of the sale price. They are shown at checkout or on the product page and invoiced on delivery of the product.
4.4 VAT. Prices include VAT at 15%. Our tax invoice shows our VAT number.
4.5 We send an invoice and payment details as soon as you place your order, and an invoice and receipt after you pay. Invoices are also recorded in our accounting system.
4.6 If an invoice is overdue, interest runs at 2% a month, applied subject to the in duplum rule.
5. Pay first, then identity checks
5.1 We are required by the Financial Intelligence Centre Act 38 of 2001 to verify the identity of the people we deal with. Everyone, including individuals, pays first and we check afterwards.
5.2 After payment we ask you for the documents we need. We start work on the product only when the check is complete.
5.3 If the check fails or you do not give the documents we ask for within 14 days, we cancel the order and refund you as the Refund Policy says.
5.4 Clients with a BlackLeaf portal cannot check out until their onboarding is complete.
6. Ordering and delivery
6.1 Before you pay you will see a summary of your order, with the chance to correct mistakes and to cancel (ECTA s 43(2)).
6.2 We acknowledge your order and payment by email. The agreement starts, and we start work, only when your identity check is complete and we confirm the order.
6.3 The turnaround shown on the product page is an estimate. It starts when the identity check is complete and we have everything we need from you. Authority timelines are outside our control.
6.4 We deliver through the portal or by email to the address you gave. Check it is correct.
7. What we need from you
7.1 Give us accurate, complete and current information and documents. We rely on them.
7.2 If you give us wrong or late information, the product may be delayed or fail. Authority rejections caused by your information do not entitle you to a refund of fees we have already paid to the authority, unless the law says otherwise.
8. Cancelling and refunds
8.1 You may cancel any shop order within seven (7) days of placing it, for any reason. This applies to all products.
8.2 We refund within 30 days of cancellation, to the method you paid with, as the Refund Policy sets out.
8.3 Other refund cases are in the Refund Policy.
8.4 Nothing here limits your rights under ECTA Chapter VII or the Consumer Protection Act 68 of 2008 (CPA). A term that tries to remove those rights is void (ECTA s 48; CPA s 51).
9. Our liability
9.1 We perform each product with reasonable skill and care.
9.2 To the extent the law allows, we are not liable for delays or refusals by authorities, or for loss that arises from information you gave us.
9.3 To the extent the law allows, our total liability for a product is limited to the price you paid for that product.
9.4 Nothing here excludes liability for fraud or gross negligence, or removes rights you have under the CPA or ECTA.
10. Your information
We use your information to process your order, verify identity, invoice you and meet our legal duties. Our Privacy Policy and collection notice explain how, and your rights.
11. Complaints
11.1 Email [email protected] or [email protected]. We acknowledge within 2 working days and answer within 10 working days, as our Complaints Procedure says.
11.2 You may also complain to the Consumer Affairs Committee (ECTA s 49) or the National Consumer Commission.
12. General
12.1 South African law governs these terms.
12.2 If a court finds a part of these terms unlawful, the rest stays in force.
12.3 We may update these terms. The terms in force when you order apply to that order.
12.4 Notices to us: BlackLeaf Wealth (Pty) Ltd, The Loft, 439 Diagonal Street, Pringle Bay, 7196, or [email protected].
13. Product-specific terms
13.1 This section applies to the products named in it, together with the rest of these terms. If it conflicts with another part of these terms for that product, this section applies.
13.2 Monthly plans and retainers (FID-300, FID-301, FID-405 and FID-504). These plans renew each month until cancelled. The seven-day right in clause 8.1 applies to the first order. After that, you may cancel by giving 20 business days' written notice to [email protected]. The plan ends when the notice period ends, and fees for the notice period remain payable. Where the product page states a minimum term, notice cannot end the plan before that term ends.
13.3 Not legal advice (FID-401 and FID-404). These products are drafting and filing services. They are not legal advice.
13.4 Information Officer registration (FID-601). We register your Information Officer and deputy with the Information Regulator. BlackLeaf is not your Information Officer.
13.5 Trust administration (FID-405). The trustees remain responsible for the trust and its decisions. BlackLeaf staff never sign as a trustee.
13.6 Beneficial ownership declaration (FID-202). The directors sign the beneficial ownership declaration. We prepare the filing but do not certify the declaration.
13.7 Share certificates and securities register (FID-209). We rebuild the register from the records you give us. We do not validate past share issues.
13.8 Registers rectification and governance rectification (FID-210 and B5). We give you a factual list of the gaps we find. It is not a legal opinion.
13.9 Conversion from a close corporation (FID-213). Whether the company is solvent and may be converted is a decision for the client's board.
13.10 Trustee appointment or resignation (FID-403). Before we lodge, we verify the incoming trustee's identity and proof of address. We cannot lodge until that is complete.
13.11 Checklist (FID-504). The compliance checklist is information only.
13.12 Special resolution filing (FID-214). FID-214 covers only the resolutions listed on the product page. BlackLeaf does not prepare resolutions for financial assistance, disposals, share issues or repurchases, winding up, or changes to shareholder rights, and does not give legal advice on whether a resolution is required or lawful. The client's board and shareholders decide whether to adopt a resolution.
